These Terms of Service ("Terms") govern your access to and use of the products, services, and website operated by VesperOps ("we," "us," or "our"), including but not limited to vesperops.com and all associated subdomains. By using our services, you agree to these Terms.

1. Acceptance of Terms

By accessing or using any VesperOps product or service — including VesperStart, VesperSignal, VesperPulse, VesperShift, VesperStrike, VesperGravity, VesperCadence, VesperVoice, and any future offerings — you agree to be bound by these Terms and our Privacy Policy Refund Policy. If you do not agree, do not use our services.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. By using our services, you represent that you meet these requirements.

3. Account Registration

Some products require you to create an account. You are responsible for:

• Maintaining the security of your login credentials
• All activity that occurs under your account

5. Subscriptions and Billing

5.1 Payment

Paid subscriptions are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your plan) until you cancel.

5.2 Pricing

Prices are listed on each product's pricing page. We may change pricing with at least 30 days' notice. Price changes will not affect your current billing cycle.

5.3 Free Tiers and Trials

Some products offer free tiers or trial periods. We reserve the right to modify or remove free offerings at any time.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period — you will retain access until then.

6.2 Refunds

We offer a 14-day refund policy from the date of your initial subscription purchase. If you are unsatisfied within 14 days, contact us for a full refund. After 14 days, payments are non-refundable. Refunds are not available for partial billing periods.

7. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law
• Send spam, unsolicited bulk messages, or deceptive communications through our tools
• Attempt to reverse-engineer, decompile, or extract source code from our products
• Interfere with or disrupt the integrity or performance of our services
• Access another user's account without authorization
• Resell, sublicense, or redistribute our services without written permission
• Use our AI features to generate content that is illegal, harmful, or misleading

We reserve the right to suspend or terminate accounts that violate these terms.

8. Intellectual Property

All VesperOps products, branding, code, content, and documentation are owned by VesperOps and protected by applicable intellectual property laws. You may not copy, modify, or distribute our materials without written permission.

Content you create using our tools (landing pages, email sequences, reports, etc.) remains yours.

9. Data and Privacy

Your use of our services is also governed by our Privacy Policy Refund Policy, which describes how we collect, use, and protect your data. By using our services, you consent to our data practices as described therein.

10. Third-Party Services

Our products may integrate with third-party services (Stripe, Google, Supabase, etc.). Your use of those services is governed by their respective terms and privacy policies. VesperOps is not responsible for third-party service availability or practices.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements. We do not guarantee specific business results, revenue increases, or lead generation volumes.

12. Limitation of Liability

To the maximum extent permitted by law, VesperOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold VesperOps harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Chester County, Pennsylvania.
